These Terms of Service apply to the Moraton add-in for Microsoft Excel and the moraton.com website. Installing the add-in or starting a subscription means you accept them. The billing section sets out renewal and cancellation.

Moraton is an add-in for Microsoft Excel. It writes formulas into the workbooks you open, builds models to the layout you supply, extracts figures from documents you point it at, and reads a workbook back to flag broken links, flipped signs and values typed over formulas. It runs inside your organisation's own Microsoft environment. Moraton does not supply market, fundamentals or pricing data: where a formula draws on such data it resolves through your firm's own licensed data provider under your own entitlement.
Subscriptions are per seat and per named user. You must be at least 18 and authorised by your firm to install software that opens its files. You are responsible for reviewing every output before it is used or sent, and for holding the data licences that any formula you build depends on.
Plans, prices and billing periods are as follows. Prices are in US dollars and exclude any applicable tax.

Subscriptions renew automatically at the end of each billing period at the then current price, until cancelled.
Cancel at any time from your account settings. Access runs to the end of the period you have paid for.
A refund is available within 14 days of a first subscription or of an annual renewal, on request to support@moraton.com.
Team plans include a fixed number of seats. Additional seats are added at the plan's per seat rate and billed on the next invoice.
Do not install the add-in on files you are not authorised to open.
Do not use the software to redistribute market or fundamentals data outside the terms of your own data agreements.
Do not present software output as reviewed or verified work without a person having checked it.
Do not resell, sublicense or benchmark the software for publication without our written agreement.
The add-in, its interface and its underlying models remain ours. Your subscription grants a non exclusive, non transferable licence for the named seats on your plan. Your workbooks, models and documents remain yours and stay in your own environment.
Moraton is a spreadsheet tool operated by you. It writes what you ask it to write and reports what it checked. It does not provide investment advice, research, recommendations, price targets or valuations of its own judgment, and its output is not a substitute for the review of a qualified professional. Flags it raises are indications for you to examine, and the absence of a flag is not a statement that a model is correct. Market and fundamentals data comes from your firm's own licensed provider.
If you provide a mobile number and opt in, you agree to receive recurring automated account notification text messages about your account and your service at that number. These are account notifications, not marketing.

Supported carriers include: AT&T, T-Mobile, Metro PCS, Verizon Wireless, US Cellular, Google Voice, Cellular One, Cellcom, Cellular South, Interop, Clearsky. Carriers are not liable for delayed or undelivered messages.
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All of the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

The add-in runs inside Microsoft Excel and your organisation's Microsoft environment, and may sit alongside data provider plug-ins your firm licenses. Subscription payments are handled by a third party payment processor. Those providers operate under their own terms and we are not responsible for their availability or their acts.
The software is provided as is and as available. We do not warrant that it will be uninterrupted, that it will find every error in a workbook, or that a formula it writes will be correct for your purpose. A clean check is not a guarantee that a model is right.
To the maximum extent the law allows, our total liability arising out of or relating to the software is limited to the amounts you paid us for it in the twelve months before the claim. We are not liable for indirect, incidental, special or consequential damages, or for lost profits, lost opportunity or business interruption.
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law rules, and the state and federal courts serving Hennepin County, Minnesota have exclusive jurisdiction.
We may update these Terms as the software changes. The current version is always posted at https://moraton.com/terms. Continued use of the software after an update means the updated Terms apply to that use.
